Dubai offshore company formation

A JAFZA offshore company is permitted to own property in designated freehold areas. This page explains who registers the company, what it may own and where the limits are.

The short answer

In Dubai, offshore companies are registered by JAFZA, the Jebel Ali Free Zone Authority. A Dubai offshore company receives a certificate of incorporation, not a license. It is permitted to own property in designated freehold areas, own a stake in another operating company in the UAE and hold a UAE bank account. It suits owners who want a holding company and do not need to trade inside the UAE.

Who registers offshore companies in Dubai?

In Dubai, offshore companies are registered by JAFZA, the Jebel Ali Free Zone Authority. Its Offshore Companies Regulations 2023 define the zone as the Jebel Ali Free Zone in Jebel Ali, Dubai, and were made under Dubai Laws No. 1 and No. 4 of 2001. A JAFZA offshore company is therefore a Dubai registered entity.

The company receives a certificate of incorporation, not a license. It must obtain a license or permit from the competent authority before it carries out business activities in the zone or anywhere else.

A Dubai Land Department guide states that companies registered in a Dubai free zone, such as JAFZA and DMCC, and other free zones approved by the department, may own real estate within the designated areas.

The same guide states that the department does not allow foreign companies to own real estate in Dubai directly. A foreign company must set up a company in JAFZA, DMCC or another approved free zone and register the property in that company's name.

The guide is dated 2017 and refers to companies registered in a Dubai free zone without using the word offshore. The Dubai Land Department decides each registration and its policy can change.
